Section 184 is the substantive equivalent of 1961 s. 101-102 -- the DEFINITIONS chapter for GAAR. Key definitions: (a) ARRANGEMENT -- step / part of arrangement; transaction / scheme / agreement / understanding; whether enforceable or not; (b) ASSET; (c) BENEFIT; (d) CONNECTED PERSON; (e) FUND; (f) PARTY; (g) RELATIVE; (h) STEP; (i) TAX BENEFIT -- reduction / avoidance / deferral of tax; increase in refund; reduction in income; reduction in tax base etc. Procedural framework via Rules 10U-10UC: monetary threshold INR 3 crore for GAAR proceedings; Approving Panel review; CIT appellate process; opportunity to be heard. The threshold is critical -- below INR 3 crore tax benefit, GAAR not invoked routinely (procedural carve-out, not exemption).

KEY DEFINITIONS

(a) ARRANGEMENT -- broadly defined: any step / part / sub-step / pattern / sequence; transaction / scheme / agreement / understanding / agreement / promise / undertaking / WHETHER enforceable or not; including all parts thereof. Captures formal written contracts AND informal arrangements / oral understandings / common-pattern-of-transactions. (b) ASSET -- includes property of any kind whether tangible / intangible / financial / non-financial. (c) BENEFIT -- monetary or non-monetary advantage / favourable treatment. (d) CONNECTED PERSON -- broadly defined: relative / firm-partner / company-director / shareholder / fellow-shareholder / common-control entities / etc. (similar to s. 162 AE-style triggers but distinct). (e) FUND -- any fund or account where money / assets are held including trust fund / unit trust / investment scheme. (f) PARTY -- includes assessee and other persons connected with arrangement. (g) RELATIVE -- per s. 92(3) of 2025 Act / 1961 s. 56(2)(vii) Explanation -- spouse / parent / sibling / child / similar. (h) STEP -- any individual transaction / sequence / part of arrangement. (i) TAX BENEFIT -- (i) reduction / avoidance / deferral of tax payable; (ii) increase in refund; (iii) reduction in total income / increase in loss; (iv) reduction in tax base; (v) any other benefit relating to tax. PROCEDURAL FRAMEWORK (Rules 10U-10UC)

(I) MONETARY THRESHOLD (Rule 10U): GAAR proceedings invoked only where AGGREGATE TAX BENEFIT in arrangement EXCEEDS INR 3 CRORE in the tax year. Below threshold, GAAR not normally invoked (administrative carve-out; not exemption). (II) AO INITIATION (Rule 10UA): AO who has reason to believe arrangement is IAA, refers to Principal Commissioner / Commissioner with documented reasons. (III) PCIT REFERENCE (Rule 10UB): PCIT, after assessee's reply, may forward to APPROVING PANEL. (IV) APPROVING PANEL (Rule 10UC): three-member panel (Chief Commissioner / Commissioner / outside member); reviews; gives directions to AO. (V) AO ASSESSMENT: AO finalises with GAAR consequences per Approving Panel direction. (VI) APPELLATE: Appeal to ITAT (skip CIT(A)); judicial review to High Court / Supreme Court. (VII) GRANDFATHERING (Rule 10U(1) Proviso): pre-AY 2018-19 transactions / income from transactions outside GAAR scope; investment as on 1-Apr-2017 in offshore-funds-of-non-residents grandfathered for those funds.

PLANNING NOTES

(i) GAAR EXPOSURE ASSESSMENT -- for high-value (>INR 3 cr) tax-driven arrangements, conduct GAAR risk analysis pre-implementation. (ii) DOCUMENTATION -- (a) commercial rationale; (b) alternative-considered analysis; (c) reasonable-businessperson-test; (d) market-comparable terms; (e) board-resolution-evidencing-business-purpose. (iii) APA / RULING ROUTE -- for cross-border arrangements, APA (s. 168) and Advance Ruling (Chapter XV equivalent) provide certainty pre-empting GAAR. (iv) MAP RECOURSE -- if treaty-protected position challenged via GAAR, MAP under s. 159 may resolve. (v) PANEL HEARING -- if GAAR notice received, prepare comprehensive submission for Approving Panel; engage senior counsel.
