Section 168 — - ADVANCE PRICING AGREEMENT

Section 168 is the substantive equivalent of 1961 s. 92CC -- the Advance Pricing Agreement (APA) framework introduced FA 2012. APA is a forward-looking certainty mechanism where CBDT (with CG approval) and assessee pre-agree on ALP / ALP-methodology for specified international transactions for up to 5 prospective years (with optional 4-year rollback per FA 2014). Three types: (a) UNILATERAL APA -- between Indian assessee and CBDT only; (b) BILATERAL APA -- between Indian assessee + Indian CBDT + foreign tax authority + foreign-affiliate (treaty-partner cooperation); (c) MULTILATERAL APA -- 3+ tax authorities. India has signed 600+ APAs since 2014 (statistics through FY 2024-25); strongly favoured for high-value / repetitive / contentious cross-border arrangements. CBDT APA-Cell processes applications; turnaround typically 24-36 months.

STATUTORY ARCHITECTURE

APA OPERATIONAL MECHANICS: (i) PRE-FILING CONSULTATION (optional): assessee meets CBDT APA-team to discuss feasibility before formal application. (ii) APPLICATION (Form 3CED) -- detailed: enterprise overview, AE details, transaction details, FAR analysis, proposed method, comparables, computation; substantial CA / TP-consultant input. (iii) FEE: graduated by transaction value -- INR 10L-INR 50L. (iv) NEGOTIATION: APA-team conducts site visits / data review / FAR validation; multiple rounds of negotiation. For BILATERAL, parallel negotiation with foreign tax authority. (v) AGREEMENT: agreed ALP methodology / pricing for 5 prospective years. (vi) ROLLBACK (FA 2014): up to 4 prior tax years can be covered with same methodology, subject to similar facts. (vii) BINDING: AO bound to follow APA-pricing for covered period. Non-application of APA in covered transactions = non-compliance. (viii) TERMINATION: critical assumption breach / fraud / change in law / mutual agreement. (ix) RENEWAL: post 5-year period, fresh APA negotiable.

UNILATERAL vs BILATERAL APA

UNILATERAL APA: faster (24-30 months) but cross-border counterparty may not accept the ALP -- creating one-sided certainty in India only; foreign tax authority can still adjust. Suits transactions where foreign-side risk is low. BILATERAL APA: 30-48 months; involves both tax authorities; agreement gives certainty in BOTH jurisdictions; eliminates double-tax risk. Preferred for high-value / contentious. MULTILATERAL: rare; 3+ jurisdictions; multi-year process. PRACTITIONER CHOICE: consult OECD MAP statistics; check counterparty country APA-cooperation history; for US / UK / Singapore / Japan -- bilateral generally feasible. For tax-haven counterparties (Cayman / BVI) -- only unilateral viable.

(i) FA 2012 introduction; FA 2014 rollback expansion. (ii) CBDT APA program statistics (annual report by APA-cell): 600+ signed; 95+ bilateral. (iii) Asia / Pacific TP statistics show India has highest APA volume in region. (iv) ITAT decisions on APA-binding-effect: TPO bound to follow APA-pricing for covered transactions; departure invites assessee remedy.

PLANNING NOTES

(i) APA SUITABILITY -- routine, high-volume, high-value, contentious cross-border transactions are best APA candidates; one-off transactions less suitable. (ii) FORM 3CED PREPARATION -- engage CA + TP-consultant 6-12 months before filing; comprehensive documentation. (iii) FEE CALCULATION -- INR 10-50L based on transaction value; modest relative to litigation cost. (iv) ROLLBACK STRATEGY -- if APA covers prior 4 years, retroactively settle disputes; substantial litigation savings. (v) BILATERAL vs UNILATERAL -- bilateral preferred for double-tax certainty; verify treaty-partner APA-cooperation. (vi) RENEWAL TIMELINE -- 6-12 months before APA expiry, initiate renewal.
