Section 224 — - TAX ON INVESTMENT FUND AND UNIT HOLDERS
Section 224 is the substantive equivalent of 1961 s. 115UB -- the PASS-THROUGH REGIME for ALTERNATIVE INVESTMENT FUNDS (AIFs) under SEBI AIF Regulations 2012, specifically Category I and Category II AIFs (Cat-III AIFs taxed at fund level). FA 2015 introduced the pass-through framework. Architecture: Cat I/II AIF is treated as PASS-THROUGH ENTITY -- income earned at fund level passes through to investor in same character; fund itself not taxed on pass-through income (some specified income exceptions). Loss attribution: similarly passes through subject to conditions (FA 2019 expansion). Practitioner: angel funds / VCFs / private equity / debt funds typically AIF Cat I/II; SEBI registration required.
ARCHITECTURE: AIF (Cat I/II) per SEBI AIF Regulations 2012. Cat I = social impact / venture capital / SME / infrastructure / etc.; Cat II = open-ended / closed-ended hedge-style not Cat-III; Cat III = open-ended hedge fund / leverage / regulated separately (NOT pass-through). PASS-THROUGH MECHANICS: (a) Income earned at AIF-Cat-I/II level: PGBP income (PGBP-exception fund-level taxation); other income (CG / IFOS / etc.) PASS-THROUGH to investors; (b) Investor receives proportionate share of fund income; CHARACTER PRESERVED (CG as CG / IFOS as IFOS); (c) Fund not taxed on pass-through income (one-tier taxation); (d) Distribution timing: at fund payout / yearly statement. LOSS PASS-THROUGH (FA 2019 enhancement): losses also pass-through; investors may claim against own income. Specific conditions apply for fund-of-funds and subsequent year set-offs. PRACTITIONER: Category determination critical -- Cat I/II = pass-through; Cat III = fund-level taxation. Document SEBI registration; obtain Form 64 / equivalent annual statement of income / loss attribution.
