Section 166 — - REFERENCE TO TRANSFER PRICING OFFICER
Section 166 is the substantive equivalent of 1961 ss. 92CA + 92D + 92E -- the procedural framework for TP enforcement: (a) AO's reference to specialised Transfer Pricing Officer (TPO); (b) TPO's determination of ALP under s. 165; (c) AO's binding adoption of TPO's determination; (d) DRP appeal route (s. 144C of 1961 / equivalent in 2025 Act); (e) maintenance of TP documentation per Rule 10D Master File / Local File / CbC (post BEPS Action 13); (f) Form 3CEB accountant's certificate before s. 263(1) due date (extended for TP). The provision is the operational engine of TP -- referrals are made when AO believes ALP determination requires TP-expertise.
PROCEDURAL ARCHITECTURE
(I) AO REFERENCE TO TPO: Where AO considers ALP determination requires TP expertise (typically when international transaction value > INR 15 crore), AO refers ALP-determination question to TPO. (II) TPO ASSESSMENT: TPO conducts independent ALP analysis -- comparable selection, FAR review, method application -- and determines ALP. (III) AO BINDING: AO adopts TPO's ALP determination -- the TPO order is binding on AO for this purpose. (IV) DRP / APPEAL ROUTE: Assessee may file objections with Dispute Resolution Panel (DRP) within 30 days of draft order; DRP issues directions to AO; AO finalises assessment per DRP. Alternatively, direct appeal to ITAT (skipping CIT(A)). (V) TP DOCUMENTATION (Rule 10D): 13 categories of mandatory documentation -- enterprise overview, ownership structure, business overview, FAR analysis, industry analysis, transaction details, comparable selection process, method choice rationale, computation working, etc. Plus MASTER FILE (Rule 10DA) for groups with consolidated revenue > INR 500 crore -- group-level overview. Plus CbC (Country-by-Country) Report (Rule 10DB) for groups with consolidated revenue > INR 5,500 crore -- country-wise revenue / tax / employees. (VI) FORM 3CEB: Accountant's certificate (CA) certifying compliance and ALP-method-application; mandatory before s. 263(1) due date (typically 31-Oct extended).
PENALTIES
(a) Non-maintenance of TP documentation: 2% of value of international transaction (Rule 10D non-compliance). (b) Non-furnishing of Form 3CEB: INR 1,00,000 plus interest. (c) Non-furnishing of Master File / CbC: INR 5,000-INR 5,00,000 per default (graduated). (d) Concealment of income through TP-default: penalty under s. 270A / s. 271 (200% of tax sought to be evaded). Penalty regime is independent of substantive TP-adjustment; even where ALP-adjustment is finally accepted by assessee, documentation-default penalties remain.

(i) FORM 3CEB EARLY -- file electronically by 31-Oct (extended due date); Form 3CEB is the gateway to TP scrutiny. (ii) RULE 10D DOCUMENTATION -- 13 clauses; engage TP consultant 60+ days before due date. (iii) MASTER FILE / CbC -- groups with consolidated revenue > thresholds; verify thresholds annually; CbC notification (Rule 10DB) by parent jurisdiction. (iv) DRP STRATEGY -- 30-day window from draft order; well-drafted objections crucial. (v) APA / MAP RECOURSE -- post-adjustment for cross-border double-tax; safe harbour rules under s. 167 for routine transactions.
